1. Scope and subject matter of the contract
These General Terms and Conditions apply to contracts for services provided by MEDIENBOX GmbH, particularly in the fields of film and video production, post-production, event services, live streaming, and media and communication services. The nature and scope of the specific services owed are set out in the relevant quotation, order or separate project agreement.
2. Conclusion of contracts and changes
Orders and material changes to the scope of services should be agreed in text form. Any deviations from the agreed scope of services will be coordinated with the client. Individual agreements in the quotation or project contract take precedence over these Terms and Conditions.
3. Client cooperation
The client shall provide the information, content, contact persons, access, approvals and permissions required for the project in good time. Delays resulting from late or incomplete cooperation may lead to adjustments to the schedule and, where applicable, additional work.
4. Prices and payment terms
The prices stated in the relevant quotation or order apply. Unless otherwise stated, prices are exclusive of statutory VAT. Payment deadlines and any agreed instalments are set out in the quotation or invoice. The statutory provisions apply in the event of default.
5. Cancellations and cancellation of scheduled dates
Cancellations must be notified in text form. Unless the quotation provides otherwise, the following flat-rate cancellation charges apply to firmly booked production or event dates, calculated on the basis of the agreed order value:
- 30 to 20 days before the agreed service date: 25%
- 19 to 10 days before the agreed service date: 50%
- 9 to 4 days before the agreed service date: 75%
- Less than 96 hours before the agreed service date: 100%
Non-cancellable third-party costs and project-related expenses already incurred may be charged in addition. The client retains the right to demonstrate that no loss, or a substantially smaller loss, has been incurred.
6. Rights of use and copyright
Copyright and related rights remain with the respective rights holders. The client receives the rights of use required for the agreed purpose to the extent specified in the quotation or project contract. Any use, modification or disclosure beyond this requires an appropriate agreement, unless otherwise provided by law.
7. Third-party material and rights
If the client supplies text, images, music, trademarks, logos or other materials, the client confirms that their use in accordance with the contract is permitted. The client shall inform MEDIENBOX of any existing restrictions or required credits.
8. Acceptance and revisions
Where acceptance is provided for, MEDIENBOX will make the agreed work available for review. The revision rounds included in the agreed scope of services are governed by the quotation or project agreement. Additional requests for changes may be charged as additional work.
9. Liability and force majeure
MEDIENBOX is liable for loss or damage in accordance with statutory provisions. In the event of delays or obstacles to performance resulting from circumstances beyond reasonable control, particularly force majeure, official measures, significant technical failures or the short-notice unavailability of indispensable participants, the parties will agree on an appropriate adjustment to the project schedule.
10. Confidentiality
Both parties shall treat confidential information that becomes known to them in the course of their cooperation as confidential and use it only to carry out the relevant project, unless there is a statutory obligation to disclose it.
11. Termination
The right to terminate for good cause remains unaffected. Services already provided and project-related costs incurred shall be remunerated in accordance with the applicable statutory and contractual provisions.
12. Final provisions
German law applies. Where an agreement on jurisdiction is legally permissible and the client is a merchant, a legal entity under public law or a special fund under public law, Frankfurt am Main is agreed as the place of jurisdiction. Individual agreements continue to take precedence.
13. Review note
This version was editorially restructured for the website relaunch on the basis of the previous MEDIENBOX Terms and Conditions. Before it is used as a binding document, it should be reviewed by a lawyer, particularly with regard to cancellation, rights of use, liability and the specific client groups.
